This master partnership agreement (the “agreement”) is concluded from the date the partner accepts the terms of this Agreement by clicking on “Consent” or “Acceptance” (the “effective date”) by and between GitLab and the partner (hereafter referred to as “party” or “party” collectively). In view of the mutual agreements that are provided for and which must be legally linked, the contracting parties agree on the duration, termination and termination effect. 4.1. This agreement begins on the reference date and remains in effect for a period of one (1) year after (“initial period”). At the end of its initial term, this agreement is automatically extended by one (1) year (“extending period”), unless one of the contracting parties has indicated in writing to the other party that this agreement will not be renewed at least thirty (30) days before the end of the current period. The initial concept, as well as all the conditions of extension, is called “term.” Unless otherwise agreed in an order or exhibition form executed, the issuance or issues are prescribed at the expiry or termination of this contract. 4.2. Any party may terminate this agreement or partnership for convenience if it is carried out sixty (60) days before the written denunciation to the other party. Notwithstanding the above, the termination of the agreement pursuant to this section 4.2 does not affect GitLab products that are currently provided on an exported order form and/or made available by the partner with respect to the life of the partner. These GitLab products remain subject to the terms of this Agreement, the applicable order form and the applicable exposure until the end of the current lifespan at which GitLab products supplied by GitLab expire in accordance with this Agreement. In the event of termination of the agreement, the partner, on written request that provides GitLab with appropriate assistance and information regarding the end user, will make reasonable economic efforts to ensure a positive result and an end-user transfer, including, but without limitation, at.
4.3. Any party may terminate this agreement or partnership immediately after written notification to the other party due to a substantial violation of that other party, whose substantial violation remained safe for a period of thirty (30) days from the date of written notification to the other party. GitLab may terminate the contract immediately due to a violation of Sections 5 (CONFIDENTIALITY), 7 (INTELLECTUAL PROPERTY RIGHTS), 8 (RESTRICTIONS) and/or 10 (PARIFICATION). 4.4. The termination of this agreement pursuant to this Section 4 terminates all partnerships under this contract. The termination of a partnership under this partnership does not in itself affect another partnership that exists at the time of termination. In the event of termination of one or more partnerships, all licenses that each party (s) grant to the other party under this partnership will be immediately fine-tuned and the partner will immediately withdraw GitLab or immediately confirm in writing to GitLab that the partner has made this copy in writing. Paragraphs, 2 (taxes), 4.3, 5 (confidentiality) (but only with respect to confidential information disclosed before termination or expiry), 8 (Restrictions), 11 (Limitation of liability) and 14 (Various) have the termination or expiry of this Agreement. 4.5. Unless otherwise stated in this Agreement, neither party shall be held liable to the other Party for damages of any kind, including special, indirect, accidental, consecutive or punitive damages due to the termination or expiry of this Agreement or any exposure authorized by this Agreement.
Each party waives any rights it may have in the event of termination or expiry of the agreement, with the exception of what is expressly provided for in this agreement.
